1. Scope of these Terms

These Terms of Use (the "Terms") set forth the conditions for use of the internet shopping site "seya web site" (the "Site") operated by HERE COME THE NEW JETS LLC (the "Company").

2. Applicability

These Terms apply to all persons who agree to these Terms and complete the prescribed registration procedures to make a purchase or register as a member (the "Customer").

Even if registration procedures have been completed, the Company may refuse an application if any of the following applies. The determination of whether any of the following applies shall be made at the sole and absolute discretion of the Company:

  • The applicant has provided false information.
  • The applicant has engaged in any conduct prohibited under Article 10 (Prohibited Conduct).
  • The applicant's membership was previously revoked due to a violation of these Terms.
  • The applicant applies using an email address that is not registered in their own name.
  • The applicant applies on behalf of a third party.
  • The Company otherwise determines that the applicant is unsuitable for membership.

3. Amendment of the Terms

The Company may revise these Terms in whole or in part at its discretion without prior notice to Customers. Any revisions shall become effective upon posting on the Site.

If a Customer does not agree to the revised Terms, the Customer must discontinue use of the Site and cancel membership registration. Continued use of the Site after the revised Terms become effective, or failure to cancel membership within two weeks of notice of the revision, shall constitute acceptance of the revised Terms.

4. Compliance

Customers shall comply with these Terms and any other rules, guidelines, or conditions separately established by the Company in connection with the use of the Site.

5. Membership Registration and Changes to Registered Information

Customers may use the Site regardless of whether they register as members.

Applicants for membership must agree to all provisions of these Terms and complete registration through the designated form provided by the Company. Customers must provide accurate information and must not submit false information.

Customers are solely responsible for managing their registered passwords and for any use thereof.

Persons under the age of 18 must obtain prior consent from a parent or legal guardian before registering.

Customers must promptly notify the Company of any changes to registered information by using the designated form on the Site.

Customers may not transfer, assign, sell, lend, or otherwise dispose of their right to use the Site or their password.

The Company shall not be liable for any damages arising from unauthorized use of passwords or use by third parties.

6. Purchase of Products

Customers may purchase products through the Site in accordance with the procedures prescribed by the Company.

A purchase agreement shall be formed when the Customer completes the order procedure and the Company sends an order confirmation email.

The Company reserves the right to cancel or refuse an order if:

  • The Customer has previously violated these Terms;
  • The Customer has provided false or incomplete information;
  • The ordered product is out of stock or unavailable;
  • The Company otherwise reasonably determines that fulfilling the order is inappropriate.

Prices, product descriptions, and availability are subject to change without prior notice.

7. Payment

Payment methods shall be limited to those designated on the Site.

Payment must be completed by the deadline specified by the Company. If payment is not confirmed by the deadline, the order may be automatically cancelled.

Customers shall bear any bank transfer fees, currency exchange fees, or other transaction charges.

8. Delivery

Products shall be delivered to the address specified by the Customer at the time of order.

The Company shall not be liable for delays caused by force majeure events, including but not limited to natural disasters, strikes, transportation disruptions, customs inspections, or other circumstances beyond the Company's reasonable control.

Risk of loss or damage to products shall pass to the Customer upon delivery to the designated address.

9. Returns and Exchanges

Returns or exchanges are not accepted except in cases of defective products or incorrect items delivered.

If a product is defective or incorrect, the Customer must contact the Company within the period specified on the Site. If the Company determines that a return or exchange is appropriate, the Company will provide further instructions.

Returned products must be unused and in their original condition with all tags and packaging intact.

10. Prohibited Conduct

Customers shall not engage in any of the following acts:

  • Violating any laws or regulations;
  • Infringing upon the rights of the Company or third parties;
  • Interfering with the operation of the Site;
  • Using the Site for fraudulent or unlawful purposes;
  • Registering false information;
  • Using another person's account or password;
  • Any other conduct deemed inappropriate by the Company.

The Company may suspend or terminate membership without prior notice if a Customer engages in any prohibited conduct.

11. Disclaimer

The Company makes no warranties, whether express or implied, regarding the accuracy, completeness, reliability, suitability, or availability of the Site or its content.

The Company shall not be liable for any damages arising from:

  • Use of or inability to use the Site;
  • Errors, interruptions, suspension, or termination of the Site;
  • Unauthorized access to or alteration of data;
  • Any other damages related to the use of the Site.

To the fullest extent permitted by applicable law, the Company's liability shall be limited to the total amount paid by the Customer for the relevant product.

12. Intellectual Property Rights

All content on the Site, including but not limited to text, images, designs, logos, graphics, trademarks, and software, is owned by or licensed to the Company and is protected by intellectual property laws.

Customers may not reproduce, distribute, modify, transmit, publicly display, or otherwise use any content from the Site without prior written consent from the Company.

13. Suspension or Termination of the Site

The Company may suspend or terminate operation of the Site, in whole or in part, without prior notice if:

  • Maintenance or system updates are necessary;
  • Technical issues arise;
  • Force majeure events occur;
  • The Company otherwise deems suspension necessary.

The Company shall not be liable for any damages resulting from such suspension or termination.

14. Personal Information

The Company shall handle Customers' personal information in accordance with the Privacy Policy separately established by the Company.

 

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan.

Any disputes arising out of or in connection with these Terms or the use of the Site shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
